1. INTRODUCTION
1.1 These Terms and Conditions (“Terms”) govern your use of the CNC Marketplace website (“the Platform”) operated by CNC Marketplace Ltd (“CNC Marketplace”, “we”, “us”, “our”).
1.2 By accessing or using the Platform, purchasing any of our products or services, or registering as a user, you agree to be bound by these Terms in full. If you do not agree to these Terms, you must not use the Platform.
1.3 These Terms should be read alongside our Privacy Policy and Cookie Policy, which also govern your use of the Platform.
1.4 We reserve the right to update or amend these Terms at any time. Any changes will be published on this page with an updated date. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms.
2. ABOUT US
2.1 CNC Marketplace is a UK based online marketplace facilitating the buying and selling of CNC machines and related industrial equipment.
2.2 CNC Marketplace acts solely as an intermediary platform connecting buyers and sellers. We are not a party to any transaction between buyers and sellers unless explicitly stated within a specific service agreement.
2.3 CNC Marketplace Ltd is a private limited company registered in England and Wales with company registration number 16351895.
3. DEFINITIONS
For the purposes of these Terms:
“Platform” means the CNC Marketplace website and all associated pages and services.
“User” means any individual or company accessing or using the Platform.
“Seller” means any user listing a machine or equipment for sale on the Platform.
“Buyer” means any user enquiring about or purchasing a machine or equipment listed on the Platform.
“Listing” means any advertisement for a CNC machine or equipment published on the Platform.
“Services” means any paid services offered by CNC Marketplace including but not limited to listing plans, valuation, photography, marketing and referral services.
“Dealer Member” means any user subscribed to a CNC Marketplace Dealer Membership plan.
4. USER ACCOUNTS & REGISTRATION
4.1 To list a machine or access certain features of the Platform, you must register for an account. You agree to provide accurate, current and complete information during registration and to keep your account details up to date.
4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.3 You must notify us immediately at info@cncmarketplace.uk if you become aware of any unauthorised use of your account.
4.4 We reserve the right to suspend or terminate any account at our discretion, including where we reasonably believe a user has breached these Terms.
4.5 Users must be at least 18 years of age and, where registering on behalf of a business, must have the authority to bind that business to these Terms.
5. LISTINGS
5.1 Sellers are responsible for ensuring that all information provided in their listings is accurate, complete, truthful and not misleading.
5.2 CNC Marketplace reserves the right to reject, edit, suspend or remove any listing at our sole discretion, including where we believe a listing breaches these Terms, is misleading, or is otherwise inappropriate for the Platform.
5.3 Listing fees are non-refundable once a listing has been published on the Platform, except where CNC Marketplace has removed a listing without cause.
5.4 Sellers must hold full legal title to any machine or equipment listed for sale, or be authorised to sell on behalf of the legal owner.
5.5 Listings must not include any false, misleading or fraudulent information. CNC Marketplace accepts no liability for the accuracy of information provided by sellers.
5.6 CNC Marketplace does not guarantee that any listing will result in a sale.
5.7 Auto-renewal of listing plans will occur automatically at the end of each listing period unless cancelled by the seller prior to the renewal date. It is the seller’s responsibility to cancel auto-renewal if they do not wish their listing to be renewed.
6. LISTING PLANS
6.1 CNC Marketplace offers the following individual listing plans:
Basic Listing — £99 per 30 days
Enhanced Listing — £249 per 90 days
Premium Listing — £649 per 180 days
6.2 All listing plans are subject to the features and limitations described on the Platform at the time of purchase.
6.3 Listing plan fees are charged in advance and are non-refundable once the listing has been published.
6.4 CNC Marketplace reserves the right to amend listing plan prices and features at any time. Any changes will not affect listings already purchased and active at the time of the change.
7. DEALER MEMBERSHIP PLANS
7.1 CNC Marketplace offers the following Dealer Membership plans:
Bronze — £350 per month, minimum 3 month contract
Silver — £600 per month, minimum 6 month contract
Gold — £1,000 per month, minimum 12 month contract
Platinum — £1,500 per month, minimum 12 month contract
7.2 Dealer Membership plans are subject to a minimum contract term as specified above. By entering into a Dealer Membership plan, you agree to pay the full monthly fee for the duration of the minimum contract term.
7.3 Bronze and Silver memberships will auto-renew at the end of each contract period unless written notice of cancellation is provided to CNC Marketplace at info@cncmarketplace.uk at least 30 days prior to the renewal date.
7.4 Gold and Platinum memberships will not auto-renew. Your dedicated account manager will contact you no less than 60 days prior to your contract end date to discuss renewal options. Renewal is by mutual written agreement only.
7.5 Early termination of a Dealer Membership plan prior to the end of the minimum contract term will not entitle the member to a refund of fees paid. The remaining balance of the minimum contract term will remain due and payable.
7.6 CNC Marketplace reserves the right to suspend or terminate a Dealer Membership where a member is in breach of these Terms, with immediate effect and without refund.
7.7 All Dealer Membership applications are subject to approval by CNC Marketplace at our sole discretion.
8. ADDITIONAL SERVICES
8.1 Machine Valuation Report — CNC Marketplace’s Machine Valuation Report provides an independent estimate of fair market value based on available market data. The valuation is provided for guidance purposes only and does not constitute a guarantee of sale price or market value. CNC Marketplace accepts no liability for any decisions made on the basis of a valuation report.
8.2 Complete Listing Package — The Complete Listing Package fee of £1,495 includes travel within a 50 mile radius of our base. A travel supplement will be agreed in writing prior to any booking for locations beyond 50 miles. All content produced remains the property of CNC Marketplace Ltd until full payment has been received, at which point ownership transfers to the seller.
8.3 Machine Transport & Logistics Referral — CNC Marketplace acts as an introducer only in connecting users with third party transport providers. CNC Marketplace may receive a referral fee for such introductions at no additional cost to the user. All transport arrangements, contracts and responsibilities remain solely between the user and the transport provider. CNC Marketplace accepts no liability for any transport or logistics services provided by third parties.
8.4 Machine Finance Referral — CNC Marketplace acts as an introducer only in connecting users with third party finance providers. CNC Marketplace may receive a referral fee for such introductions at no additional cost to the user. All finance arrangements, agreements and responsibilities remain solely between the user and the finance provider. Finance is subject to status and eligibility criteria. CNC Marketplace accepts no liability for any finance products or services provided by third parties.
8.5 Advertising & Sponsorship — Advertising arrangements are subject to separate agreements between CNC Marketplace and the advertiser. CNC Marketplace reserves the right to reject any advertising content at our sole discretion. All advertising fees are non-refundable once an advertising campaign has commenced.
9. PAYMENTS
9.1 All payments on the Platform are processed securely through Stripe. By making a payment you agree to Stripe’s terms of service.
9.2 All prices displayed on the Platform are in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated. VAT will be added at the prevailing rate where applicable.
9.3 CNC Marketplace reserves the right to amend its pricing at any time. Price changes will not affect services already purchased and paid for at the time of the change.
9.4 In the event of a failed payment, CNC Marketplace reserves the right to suspend or terminate the relevant listing, membership or service until full payment is received.
10. CANCELLATIONS & REFUNDS
10.1 Listing fees are non-refundable once a listing has been published on the Platform.
10.2 Dealer Membership fees are non-refundable. Where a member cancels within the minimum contract term, the remaining balance of the minimum term remains due and payable.
10.3 Fees for additional services including the Complete Listing Package, Machine Valuation Report and Marketing & Promotional Service are non-refundable once work has commenced.
10.4 Where CNC Marketplace cancels a service through no fault of the user, a full refund will be provided.
10.5 Cancellation requests must be submitted in writing to info@cncmarketplace.uk.
11. INTELLECTUAL PROPERTY
11.1 All content on the Platform including text, images, logos, graphics and software is the property of CNC Marketplace Ltd or its licensors and is protected by UK and international intellectual property laws.
11.2 Users must not copy, reproduce, distribute or create derivative works from any content on the Platform without our express written permission.
11.3 By submitting content to the Platform including listing descriptions, images and videos, you grant CNC Marketplace a non-exclusive, royalty-free licence to use, display and promote that content on the Platform and associated marketing channels.
11.4 You warrant that any content you submit to the Platform does not infringe the intellectual property rights of any third party.
12. LIMITATION OF LIABILITY
12.1 CNC Marketplace provides the Platform and its services on an “as is” basis and makes no warranties, express or implied, regarding the Platform’s availability, accuracy or fitness for a particular purpose.
12.2 CNC Marketplace accepts no liability for any loss or damage arising from transactions between buyers and sellers conducted through or facilitated by the Platform.
12.3 CNC Marketplace accepts no liability for any indirect, consequential, special or incidental loss arising from your use of the Platform or its services.
12.4 To the fullest extent permitted by law, CNC Marketplace’s total liability to you in connection with the Platform and its services shall not exceed the total fees paid by you to CNC Marketplace in the 12 months preceding the event giving rise to the claim.
12.5 Nothing in these Terms shall limit or exclude CNC Marketplace’s liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by UK law.
13. INDEMNIFICATION
13.1 You agree to indemnify and hold harmless CNC Marketplace Ltd, its directors, employees and agents from and against any claims, damages, losses, costs and expenses (including reasonable legal fees) arising from your use of the Platform, your listings, your breach of these Terms or your violation of any third party rights.
14. PRIVACY & DATA PROTECTION
14.1 CNC Marketplace is committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
14.2 Our Privacy Policy, available on the Platform, sets out how we collect, use, store and protect your personal data. By using the Platform you consent to the processing of your data as described in our Privacy Policy.
14.3 CNC Marketplace will not sell or share your personal data with third parties for marketing purposes without your explicit consent.
15. GOVERNING LAW & DISPUTES
15.1 These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales.
15.2 Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.3 In the event of a dispute, we encourage users to contact us in the first instance at info@cncmarketplace.uk to seek an informal resolution before commencing any formal legal proceedings.
16. GENERAL
16.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.2 Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
16.3 These Terms constitute the entire agreement between you and CNC Marketplace in relation to your use of the Platform and supersede all prior agreements and understandings.
16.4 We may assign our rights and obligations under these Terms to a third party without your consent, provided your rights under these Terms are not materially affected.
